The regularly scheduled meeting of the Caldwell Urban Renewal Agency convened at 7:00 p.m. in the Caldwell
Police Department Community Room with Chairman Hopper presiding.
The secretary called the roll. Present: Commissioner Hopper, Commissioner Porter, Commissioner Warwick,
Commissioner Wagoner,Commissioner Allgood(via Zoom),and Commissioner Ramirez.

CONSENT CALENDAR[All Consent Calendar items are considered action items]
1) Approve minutes from the Urban Renewal Agency Regularly Scheduled Meeting held on January 11,2021;
2) Approve Resolution No. 2021-06 accepting the Warranty Deed for the sale of property to CADA Investments,
LLC located in the Sky Ranch Business Center;
3) Approve Resolution No. 2021-07 authorizing the execution of the Agreement of Terminate Disposition and
Development Agreement with Side A Brewing,LLC;
4) Approve Resolution No. 2021-08 authorizing the execution of a Cooperative Agreement with Idaho
Transportation Department for construction of the I-84 Ustick Bridge and authorize the payment of duly budgeted
Urban Renewal Funds in the amount of$3,507,000.00.

OLD BUSINESS
(ECONOMIC DEVELOPMENT ACTIVITY REPORT FROM STEVE FULTZ[JANUARY 20211)
North Ranch...Continue working with developers considering a mixed-use site (commercial and industrial) in the
current UR district. Working with six potential industrial/warehouse/distribution projects at the site.
Wolff Development...working with this group on Challenger Way in filling the new building at the site and supporting
the construction of a second building at the site. Have closed on the residential properties in Sky Ranch area in
preparation for construction of 2nd building.
Working with international development group on location of industrial property for industrial demands.
Project Living...new project from out-of-state development team interested in multi-use development in the
downtown area.
Continued work with Project White on former URA property on Smeed Parkway.
Working with Freehold Development on marketing remaining lots in Sky Ranch area...potential contracts for all but
one of remaining small lots.

Project Rec...considering sites around Caldwell, including URA sites for multi-purpose recreation facility.
Continued work with prospective developers for downtown projects and concepts.
Continue working with TVCC and others on the development of an aircraft maintenance facility to be located in
Caldwell/Caldwell Industrial Airport...making good progress on establishing the program and developing lease rates.
Working with Idaho Power on identifying"ready sites"for data center development.
Working with commercial realtor from Boise on light industrial user needing additional space...considering site in
East Caldwell. They are looking for a 60,000 sq.ft.facility.
Working with Eisenberg and their broker on the development of their lot at Smeed and Highway 20/26...potential
135,000 sq.ft.building.
Commissioner Wagoner asked about a potential site at Cleveland Boulevard and 45th Avenue. Mr. Fultz reported
that the current owner is not looking to develop the site at this time.

Project Craft...Working with a locally owned and operated brewing company that has an interest in downtown
Caldwell.This groups has a terrific following and wants to find an additional location to fit their growing needs.
712 Main Street...officially under contract with a developer from the Boise area.The developer is planning to
update the upstairs apartments and open a restaurant downstairs.
Project Swift...working with a developer that has an interest in purchasing 401 Main Street.The developer is
based in Meridian.The development group has plans to turn the space into a multi-family development.
Project Pellet...Retail group that would like a 15-20 acre site for a retail/warehousing operation.They would
like to construct an 80-100,000 square facility.They have shortlisted two sites in the Sky Ranch area.
Project Aspire...multi-family developers have placed 5 acres of land under contract in Sky Ranch. They are
working on plans to build a market rate apartment complex in the area.
Blue Bird Car Wash(21St and Chicago Ave)...they are committed to building a car wash in the coming months.
Once the Maverik is complete,they are planning to move forward with their development plans.
Project Olive...Small retail shop from the Boise area is looking for a location downtown.They are interested in
opening their second location this fall.
Working with new owner with the Oakes Brothers Main Street Marketplace on facade improvements and retail
tenants.The building is currently undergoing many updates and retail changes.
Ideal Demolition Services closed on the 8.2 acres in Sky Ranch(KCID and Linden).They are working on plans
for their new corporate headquarters and speculation buildings on the parcel.
Project Remediate...Canyon County based restoration company looking for acreage to build a small warehouse
for their second location in the Treasure Valley.They will be hiring 10-12 employees.
Working with JK Development based in Los Angeles.They previously had 12 acres under contract in Sky Ranch
and are still moving forward with plans to acquire the property.They are planning to build three speculation
buildings on the 12 acres.
Canyon County Spuds has opened their retail store at 212 South 4th Avenue.
In response to questions from Commissioner Wagner,Mr.Jenkins confirmed that the Blue Bird Car Wash has
moved to the next parcel on the site on Chicago&21st Avenue.

(ACTION ITEM: CONSIDER APPROVAL OF DESIGN ELEMENTS, CONSTRUCTION SCHEDULE,
AND BUDGETARY PLAN FROM DECHASE DEVELOPMENT FOR THE CREEKSIDE
REDEVELOPMENT PROJECT LOCATED AT 7TH& MAIN STREET IN DOWNTOWN CALDWELL)
Mark Hilty, Agency Attorney, provided a summary of prior activity by deChase Development for a potential
development at the subject site. The URA Commissioners would consider the presentation made this evening by Mr.
Pape and his team in an effort to either move forward with the proposal or take alternative action.
Mark Sindell of GGLO presented design elements of the project. He stated that the new buildings would complement
the historical elements of the downtown design within three phases.
Tom Sheldon also outlined proposed design elements of the pedestrian-friendly development. He noted that the
commercial aspects of the development has been emphasized to include an active public alley.
Dean Pape of deChase Development provided budgetary construction figures. He noted that they have contacted
three potential hotel developers concerning future involvement with the project. The goal is to take occupancy of the
first phase structure by 2022.
Discussion followed about financial assistance from the Urban Renewal Agency/City/County to meet the goals of the
project.
Mr.Pape responded to questions from Commissioner Wagoner regarding design elements of the multi-story complex.
He noted that the building design would include amenities for the residential tenants such as exterior common space.
Mr.Pape noted that they would work with City staff regarding a designated area for the communal garbage dumpster
used by the downtown businesses.
Mr. Pape suggested a flexible plan be discussed concerning the proposed Festival Street and the pedestrian-friendly
concept along 7th Avenue,as previously presented by City staff. He emphasized that the City's plan should not hamper
parking/accessibility to the proposed businesses located within the new complex.
Discussion followed concerning a request for qualifications for a future hotel complex being the responsibility of Mr.
Pape.
In response to questions from Commission Ramirez, Mr. Pape clarified that an investor would own the Phase I
complex and rent units to tenants.
Commissioner Allgood recommended that the City review options for additional parking for the future hotel complex.
Chairman Hopper thanked Mr.Pape and his team for the presentation. He indicated that the proposal would now be
reviewed by staff.
Mayor Nancolas stated that there have been no finalized design plans for a pedestrian mall area along 7th Avenue/
Arthur Street. The City is desirous of creating a project that would impede this development and discourage successful
retail involvement. He asked if the Festival Street design(the tension of Arthur Street)had been included in the cost
Mr.Pape's cost estimate;inasmuch as the Festival Street project is being contemplated by the City of Caldwell.
Mr. Pape confirmed that the current cost estimate does not include the proposed"Festival Street"area along Arthur
Street.
Discussed followed about the need to continue the Exclusivity Agreement with deChase Development for the next
30-day period until the next URA meeting to be held on March 8,2021.
MOVED by Wagoner , SECONDED by Porter to continue the Second Amendment to Agreement to Negotiate
Exclusively with deChase Development for the next 30-day period to allow additional time for staff to review the
proposal and bring forward a recommendation at the next Urban Renewal Agency meeting to be held on March 8,
2021 to include funding options and the project's feasibility.

(ATTORNEY'S REPORT)
Update Report—Revised Caldwell North Renewal Area Project: Mr.Hilty reported that the feasibility
study is under re-evaluation in conjunction with bringing utilities to the site. The updated budgetary
numbers have been gathered by ElJay Waite. Mr. Waite will provide a report at the March URA
meeting.
Mr.Orton addressed questions from Commissioner Porter regarding utilities being made available at the
proposed site and expense associated with the traversed distance to the site and size of the pipe.
Update Report: Cleveland Event Center & Wellco Property (Kimball& Blaine): Mr. Hilty reported
that Rick Wells has been working on the property's environmental clean-up project due to the fact that
a gas station was located on the parcel years ago. The option expires in February 2022.
Since the Wellco property is not ready for closing transactions at this time,alternative options have been
explored to parking space for Musssell Construction. There is a parking lot across the street from the
Cleveland Event Center owned by the City of Caldwell. Mr. Mussell would be able to move forward
with rehabilitation of the Cleveland Event Center once a parking lease is executed.
