Monday,August 12,2019 (ROLL CALL) The regularly scheduled meeting of the.Caldwell Urban Renewal Agency convened at 7:00 p.m. in the Caldwell Police Department Community Room with Chairman Hopper presiding. The secretary called the roll. Present: Commissioner Hopper, Commissioner Porter, Commissioner Warwick,Commissioner Stadick,Commissioner Allgood,and Commissioner Ramirez. (CONFLICT OF INTEREST DECLARATION) None. (SPECIAL PRESENTATIONS) A. Update Report: TFCC(Caldwell Campus): Eddie Alves, Vice President of Academic Affairs at Treasure Valley Community College at 650 College Blvd., Ontario, Oregon acknowledged President Dana Young and Kim Tomkinson who were in attendance. He provided an update report in accordance with the Caldwell Center Lease Agreement concerning enrollment and happenings at the Caldwell Campus. He reported that Kim Tomkinson was recently hired as the new Caldwell Center Director. Ms. Tomkinson was previously employed at Boise State University and Western Oregon University. Mr. Alves reported that during the 2018-19 school year, the Caldwell Campus TVCC served 781 students with 261 full-time students starting in the fall of 2018. This summer,enrollment increased 4 by 26 percent and a 10% increase for the fall quarter The Helicopter/Aviation flagship program contains approximately 55 full-time students. Two new educational opportunities will be available this fall—Cyber-Security and Welding. The welding class will be conducted in partnership with Elevate Academy where classes will be offered in the evening at their site for TVCC students. It is anticipated that approximately 40-50 full-time and part-time students will enroll in the two new classes. Mr. Alves concluded by stating that TVCC leadership is working to move the Addiction Studies program to the Caldwell campus. Research is also being conducted about the possibility of a Medical Assistant program in the 2020-21 school year. In response to questions from Commissioner Hopper, Mr. Alves reported that the majority of the students are from the Nampa/Caldwell area. Mayor Nancolas expressed appreciation for the update report and for the leadership team at Treasure Valley Community College to include Abby Lee,Dr.Dana Young,Eddie Alves,and Kim Hopkinson. (PUBLIC COMMENTS) None. (CONSENT CALENDAR) 1) Approve minutes from the Urban Renewal Agency Regularly Scheduled Meeting held on July 10, 2019 and the Budget Workshop/Special Meeting held on July 16,2019; 2) Approve Resolution No. 2019-17 authorizing the execution of the Financial Audit Contract for the Caldwell Urban Renewal Agency with Eide Bailly for the year ended September 30,2019; Page 1 of 7 3) Approve Resolution No. 2019-18 authorizing the execution of the Amended and Restated Irrigation Easement between the Urban Renewal Agency of the City of Caldwell and the City of City dated March 13,2019 and recorded in the Canyon County Recorder's Office as Document No.2019-010040; 4) Approve URA Resolution No. 2019-09(B) authorizing the execution of the amended document with Cold Steel Constructors,LLC; S) Approve Resolution No. 2019-19 ratifying the Notice and Second Amendment to the Purchase and Sale Agreement with McCain Foods USA,Inc. dated July 31,2019. Absent and/or not voting:none. MOTION CARRIED OLD BUSINESS: (JULY 2019-ECONOMIC DEVELOPMENT REPORT—STEVE FULTZ) Project White...Continue working on resolving issues during the due diligence phase. Phase one of project would include the construction of a 96,000 sq. ft. facility, and the creation of 120 jobs. Project also has PSA on an adjacent 3 acre site that is privately held property—this lot is south of the URA property. Anticipate closing in early September Project Grande...potential new restaurant/brewery considering Caldwell. Company back in the community in July....considering new locations in downtown...two site are very interested Project Works/Winco Fireworks...New warehouse/distribution lead for out of state. Looking for location of a 60,000 sq. ft. building. Considering site in the Sky Ranch area. PSA signed and in due diligence phase Project Van...new project for Sky Ranch. Warehousing/Distribution`deveIopment considering Van Auker site. Considering 3 building on the 17 acre site...potential construction of first building to begin in 2019 Potential Innovation Center...meeting with potential stakeholders regarding the development of a tech entrepreneur center...including event center potential. Tour of the Innovation Den in Coeur d'Alene. Consultant to arrive in September Caldwell Veterinary Clinic continued progress on their site in Sky Ranch...addressing issue for providing power to the site Rediscover Book Store roundtable meeting in July. Their goal is to open by November. Working with potential developer from WA interested in downtown Caldwell for mixed use development (residential and retail)...interested in Plaza area Tour of Sky Ranch area and downtown with BVEP staff and City of Boise Econ Dev.Department A visit was conducted to a Boise Restaurant regarding a potential expansion downtown. Discussions have been held with a potential developer from the Midwest about a mixed use in the downtown. NEW BUSINESS: (ACTION ITEM: CONSIDER APPROVAL OF THE BUSINESS INCENTIVE GRANT PROGRAM APPLICATION FROM PRICE PUMP COMPANY LOCATED AT 2203 SMEED PARKWAY,CALDWELL) Steve Fultz, Economic Development Director at 411 Blaine Street, provided the staff report and recommended approval of the request. Carol Mitchell,411 Blaine Street,outlined the contents of the URA Budget for FY-2020. MOTION CARRIED (ACTION ITEM: CONSIDER RESOLUTION NO. 2019-16 APPROVING THE URBAN RENEWAL AGENCY FOR THE CITY OF CALDWELL BUDGET FOR FISCAL YEAR BEGINNING OCTOBER 1,2019 AND ENDING SEPTEMBER 30,2020) Chairman Hopper read the Resolution into the record: A RESOLUTION OF THE URBAN RENEWAL AGENCY OF THE CITY OF CALDWELL, IDAHO APPROVING THE BUDGET FOR FISCAL YEAR BEGINNING OCTOBER 1,2019. THIS RESOLUTION is made on the date hereinafter set forth by the Urban Renewal Agency of the City of Caldwell, Idaho an independent public body corporate and politic, authorized under the authority of the Idaho Urban Renewal Agency Law of 1965, as amended, Chapter 20, Title 50, Idaho Code, a duly created and functioning Urban Renewal Agency for Caldwell,Idaho,hereinafter referred to as the"Agency;"and WHEREAS,pursuant to Idaho Code §50-1002,the Caldwell Urban Renewal Agency held a public hearing on August 12,2019 for consideration of the FY-2020 budget;and WHEREAS,the FY-2020 budget amounts to$8,418,663 (Revenue to meet Expenditures); NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF COMMISSIONERS OF THE URBAN RENEWAL AGENCY OF THE CITY OF CALDWELL,IDAHO: Section 1. MOTION CARRIED Page 3 of 7 (ACTION ITEM: CONSIDER REQUEST TO EXPAND ROADWAY DEVELOPMENT LOCATED NORTH OF HWY.20/26 AND SKY RANCH BUSINESS CENTER) Mayor Nancolas acknowledged those in attendance from Ball Ventures Ahlquist Development including Tommy Ahlquist, Superintendent Pat Charlton of Vallivue School District, and Bill Hamlin of Design. West Architects. Mayor Nancolas provided information about a proposed roadway expansion in association with development north of Hwy. 20/26 and Sky Ranch Business Center, emphasizing the need for a strong transportation system within the area. He proposed that the City of Caldwell build the public roadways in the subject development area. Vallivue School District would support the project with funding from appropriated URA tax increment in the amount of approximately$2.4 million,noting that they are required to improve right-of-way up to Marble Front Road in accordance with the Special Use Permit for the school construction project. This project would benefit the Vallivue School District, the City of Caldwell/Economic Development, and Ball Ventures-Ahlquist Development as they attempt to undertake development along Hwy.20/26. The City of Caldwell would build the public roadways in the subject area has outlined on the Fundamental Classification Map, similar to what was accomplished in the Sky Ranch Business Center. Negotiations have been held with Idaho Transportation Department to negotiate the deeded access points along Hwy.20- 26. Roadway improvements would assist with an effective transportation system and address safety concerns. Two cost estimates were presented: 1) Totally outsourced by the private sector, 2) City crew/contractor forces conducting the work. Contracted work estimate: $4,678,365.12. City crew/contractor forces work estimate: $2,992,288.74. The Mayor explained the revenue sources would be from the Winco Fireworks transaction and/or Project White. The proposed development would be mostly commercial/office space/light industrial. Pat Charlton, Superintendent of Vallivue School District, reported that a middle school and elementary school would be constructed on their selected site: A middle school would house 1,450 students and the elementary school 800 students. The parcel already contains traffic lanes and signalization amenities. The first school construction is scheduled to commence in the spring of 2020. Tommy Ahlquist of Ball Ventures Ahlquist Development reported that the proposed new development along Hwy. 20-26 would be entitled North Ranch. Commercial vendors have already shown interest ii the site. The site consists of 120 acres with access lanes and signalization previously approved by ITD. MOVED by Warwick, SECONDED by Ramirez to affirm the request from Vallivue School District and Caldwell Economic Development for the 120 acres referred to as North Ranch Business Park as Exhibit A within the presentation and thereby adopting it as the preliminary plan. THE VACATE NOTICE OF THE UPSTAIRS AREA AT 217 SOUTH KIMBALL AVENUE) Carol Mitchell reported that a vacate notice has been received in her office from Glenda Blessing (Owner of:Sassy Gals) concerning the mezzanine at 217 South Kimball Avenue. The Painted Lady, the business that currently shares the facility with Sassy Gals, would like to expand their business into the mezzanine area. Ms. Mitchell reported that in speaking with the owner of the Painted Lady, Cindy Weitz, she has requested that the lease include her daughter(Meagan) who assists with managing the business. Ms, Weitz has been informed that the request must be put in writing since currently the lease is with Ms. Weitz and Glenda Blessing. (DISCUSSION CONCERNING REAL ESTATE LEASE AGREEMENT RENEWALS FOR 215 AND 217 SOUTH KIMBALL AVENUE) Carol Mitchell reported that the lease agreements have not been renewed with 2018, Currently both facilities rent for$8.00 square foot per year. Discussion followed concerning terms of the lease. The Commissioners recommended to Ms. Mitchell that the leases should be eflective September -- December 2019. Starting in January,20 0, the leases would be on a month-to-month basis, noting that the site is a prime location for future developirient within the downtown area. A 90-day notice would be necessary concerning any future plan for the site, Ms. Mitchell will provide lease documents for consideration by the URA Comi-nissioners at the September meeting. Page 5 of 7 i (DISCUSSION CONCERNING THE REAL ESTATE SUB-LEASE AGREEMENT FOR THE DELI SPACE LOCATED AT THE TREASURE VALLEY COMMUNITY COLLEGE CALDWELL CAMPUS) Carol Mitchell reported that the TVCC leadership is seeking a new contractor for the deli spaced located at the Caldwell Campus, Abby Lee reported that the owners of an espresso shop is Middleton are looking to lease the space and take over the operations this fall. (DISCUSSION CONCERNING THE AGREEMENT FOR AGENCY LEGAL SERVICES WITH HAMILTON,MICHAELSON&HILTY,LLP) Carol Mitchell reported that Hamilton, Michaelson, &Hilty, LLP has proposed a rate increase, which was allocated within the FY-2020 URA budget. She noted that the agreement would be brought back by resolution for the September meeting. (CONSULTANT REPORT: No report. (ATTORNEY'S REPORT) Downtown Development Issues: Mark Hilty,City Attorney,provided an update report regarding two pending RFP proposals for downtown Caldwell sites. He reported that Ball Ventures withdrew their interest in the 7'&Main Street(Creekside Development) due to the results of the hotel feasibility study. A new RFP for the 71& Main Street site would not specify a hotel development. The RFP's for 71& Main Street and for Kimball &Arthur will emphasize the allowed uses with the downtown zone, subject to design review. He provided an update report concerning the proposed Purchase & Sale Agreement signed today by the owners of the Cleveland Event Center located at Kimball and Cleveland Boulevard. The document would be considered by resolution at an upcoming URA meeting. It was recommended that a special meeting be held to consider draft RFP documents for the two downtown sites (71 & Main and Arthur& Kimball) and to consider the Purchase & Sale Agreement for the Cleveland Event.Center. Mr. Hilty reported that the draft RFP documents would be provided to the commissioners prior to the meeting for their review. Commissioner Allgood recommended that a statement be included within the RFP's that responses should be non-speculative without the use of feasibility studies being conducted, which would delay development. No residential developments should be allowed unless there is on-site parking included within the development plan. MOVED by Porter, SECONDED by Warwick to schedule a URA Special meeting on Thursday, August 22,2019 at 6:0 p.m. at the Caldwell Police Department Community Room for the purpose of considering the execution of the Purchase & Sale Agreement of property located at 318 S. Kimball Avenue and request for proposals for properties located at 71&Main and 119 S.Kimball Avenue. MOTION CARRIED Proposed New URA Re-allocation Area: Mr. Hilty reported that progress continues by staff concerning the newly proposed URA re-allocation area. The team is currently working with Canyon County concerning details of the proposal. He noted that official action by Canyon County must take place before November 2019.
