A RESOLUTION OF THE BOARD OF COMMISSIONERS OF THE URBAN
RENEWAL AGENCY OF THE CITY OF CALDWELL, IDAHO, A PUBLIC BODY
CORPORATE AND POLITIC, ORGANIZED AND EXISTING' PURSUANT TO THE
IDAHO URBAN RENEWAL LAW, CHAPTER 20, TITLE 50, IDAHO CODE,
PURSUANT TO IDAHO CODE § 50-2010, ACCEPTING A WARRANTY DEED
EXECUTED BY THE CITY OF CALDWELL, IDAHO, PURSUANT TO IDAHO CODE
§ 50-2015.
WHEREAS, the Urban Renewal Agency of the City of Caldwell, Idaho (hereinafter
"Urban Renewal Agency") is the: duty authorized urban renewal agency of the City of Caldwell.
Idaho, created by and existing under the authority of and pursuant to the Idaho Urban Renewal
1,,aw of 1965, being Idaho Code Title 50, Chapter 20, as amended and supplemented;
WHEREAS, the City has adopted an Urban Renewal Plan for the Caldwell East Urban
Renewal Project (the "Urban Renewal Plan") that will rehabilitate and develop a specified area
of the City (the "T..Irban Renewal Area") to be administered by the Agency;
WHEREAS, the I.Jrban Renewal Plan contemplates the acquisition, management,
development, and/or disposition of real property in effectuating the purposes of the Agency and
the Plan;
WHEREAS, pursuant to Idaho Code § 50-2015(b), the City has the authority to convey
real property, with or without consideration, to the Urban Renewal Agency, for the purpose of
aiding in the planning, undertaking or carrying out of the Urban Renewal Plan;
WHEREAS, the execution of the attached Warranty Deed by the City to the I-Irban
Renewal Agency will aid in the undertaking and carrying Out of the Urban Renewal Plan;
WHEREAS, the Urban Renewal Agency is authorized, pursuant to Idaho Code § 50-
2010(a), to acquire any interest in real property, including fee simple title thereto, which it may
deem necessary for or in connection with an urban renewal project and related activities;
WHEREAS, the Urban Renewal Agency deems the acceptance of the executed Warranty
Deed from the City of Caldwell, Idaho, the original of which is attached hereto and incorporated
by this reference, to be necessary for or in connection with the undertaking or carrying out of the
Urban Renewal Plan,
NOW THEREFORE, BE IT RESOLVED BY THE BOARD OF
COMMISSIONERS OF THE URBAN RENEWAL AGENCY OF THE CITY OF
CALDWELL, IDAHO, hereby accepts the attached Warranty Deed from the City Of Caldwell
and shall abide by the following conditions of such transfer:

a. Agency shall seek private development of the site, alone or in conjunction with
adjoining property, pursuant to the request for proposals process outlined in Idaho
Code 50-2011(b); and
b. Agency may, in its discretion, sell the property for its reuse appraisal value provided
that Agency shall pay any net sale revenue recovered to City.

WARRANTY DEED
The CITY OF CALDWELL,IDAHO, an Idaho municipal corporation of 411 Blaine Street,
Caldwell, Canyon County,Idaho 83605, Grantor,hereby CONVEYS, GRANTS and WARRANTS
to THE URBAN RENEWAL AGENCY OF THE CITY OF CALDWELL,IDAHO,an independent
public body corporate and politic of the State of Idaho, of 411 Blaine Street, Caldwell, Canyon
County, Idaho 83605, Grantee, for the sum of TEN AND NO1100 DOLLARS ($10.00) and other
valuable considerations,pursuant to the authority set forth in Idaho Code § 50-2015(b),the following
described tracts of land in Canyon County, Idaho, commonly known as 119 and 123 S. Kimball
Avenue, Caldwell,Idaho 83 60 5,and more particularly described as follows,to wit:
Lots 22, 23, and 24 in Block 5 of CALDWELL, according to the Revised Map
filed July 29, 1891, in Book 1 of Plats at Page 20, in the office of the County
Recorder, Canyon County,Idaho.
TO HAVE AND TO HOLD the said premises,with their appurtenances unto the said Grantee,
its heirs and assigns forever. The said Grantor does hereby covenant to and with the said Grantee,
that it is the owner in fee simple of said premises;that said premises are free from all encumbrances
except for general taxes and assessments for the current year and subsequent years, covenants,
conditions, restrictions, use restrictions, use requirements, reversionary interests and easements of
record, and that it will warrant and defend the same from all lawful claims whatsoever.

RESOLUTION OF THE CALDWELL CITY COUNCIL PURSUANT TO IDAHO CODE
§ 50-2015(B), AUTHORIZING EXECUTION OF A WARRANTY DEED FOR THE
REAL PROPERTIES COMMONLY KNOWN AS 119 AND 123 S. KIMBALL AVENUE,
CALDWELL, IDAHO, FROM THE CITY OF CALDWELL, IDAHO, AN IDAHO
MUNICIPAL CORPORATION, TO THE URBAN RENEWAL AGENCY OF THE CITY
OF CALDWELL, IDAHO, A PUBLIC BODY CORPORATE AND POLITIC,
ORGANIZED AND EXISTING PURSUANT -TO THE IDAHO URBAN RENEWAL
LAW, CHAPTER 20, TITLE 50,IDAHO CODE.
WHEREAS, the Urban Renewal Agency of the City of Caldwell, Idaho (hereinafter

NOW THEREFORE, BE IT RESOLVED by the Mayor and City Council of the City
of Caldwell, Canyon County, Idaho, that the attached Warranty Deed for the real properties
commonly known as 119 and 123 S. Kimball Avenue, Caldwell, Idaho, from the City to the
Urban Renewal Agency, is hereby APPROVED and the Mayor is authorized to execute the same
subject to the following conditions:
a. Agency shall seek private development of the site, alone or in conjunction with
adjoining property, pursuant to the request for proposals process outlined in Idaho
Code 50-2011(b); and
b. Agency may, in its discretion, sell the property for its reuse appraisal value provided
that Agency shall pay any net sale revenue recovered to City.
