LICENSE AGREEMENT
THIS LICENSE AGREEMENT ("Agreement"), is made and entered into this 3 day of
2018, by and between the URBAN RENEWAL AGENCY OF THE CITY OF'
CALDWELL,, IDAHO,a public body corporation and politic(hereinafter referred to as"Agency"), located
at 621 Cleveland Blvd., Caldwell, Idaho 83605, and Z,O, , a
C,�j,""k __-, located at 7,7%k (hereinafter referred to as the
"Licensee").
RECITALS
WHEREAS, the Agency owns approximately 2,0 acres located westerly of Slueed Parkway in
Canyon COLinty, City of Caldwell, Idaho (the "Property"). The Property is described on the Legal
Description and outlined in red on the Vicinity Map which are attached is incorporated by this reference as
Exhibits A and B respectively; and
WHEREAS, Licensee desires to enter, into and upon the Property in order to conduct inspections
and undertake such sarnpling, Studies,measurements,environmental reviews,and other Such activities;and
WHEREAS, the Agency desires to grant Licensee a license to access the Property upon the terms
and conditions of this Agreement.
AGREEMENT
NOW,THEREFORE, for and in consideration of the premises and of the covenants, agreements
and conditions hereinafter set forth, the parties agree as follows:
A. License to Enter
Commencing on the date indicated above and continuing until the Agency grants to
Licensee, its officers,agents,employees,consultants or contractors,a license to enter upon the Property for
the purposes of conducting such studies, inspections, surveys, evaluations, soils tests and environmental
tests and audits, at Licensee's sole cost and expense, as Licensee deems appropriate.
B. Indemnity and Restoration
Licensee shall repair any and all damage caused by it or any individual or entity accessing the
Property Linder this Agreement and indemnify, defend, protect and hold harmless Agency for, from and
against, any and all liability, claims, damages, costs, fines, penalties, expenses (including, reasonable
attorneys' fees and reasonable attorneys' fees on any appeal), liens,claims of lien,judgments, proceedings
and causes of action (collectively, "Clairns") arising Out of or in any way connected the inspection of the
Property under this Agreement, unless caused by the willful or negligent act or omission of Agency, its
employees, agents, consultants or contractors. Notwithstanding the termination of this Agreement, the
foregoing indemnity obligation shall survive. The obligation to repair all damage set forth above shall
include restoring the Property to substantially the same condition as it existed prior to any activities
undertaken pursuant to this Agreement by Licensee or any individual or entity accessing the Property under
this Agreement, reasonable wear and tear excepted.

D. Miscellaneous
t. Notices. Any and all notices, demands,or other communications required pursuant to this
Agreement shall be delivered to the parties as follows:

Notices shall be deemed to have been delivered upon hand deposit in the Ignited States mail when
sent certified, or when received, at the notice addresses provided above.
2. Counterparts. This Agreement may be executed and delivered in counterparts,each
of which shall be deemed to be an original and all ofwhich shall constitute one and the .same
instrumcnt.
3. Interpretation. This Agreement shall he construed and interpreted according to the
laws of the State of Idaho.

their authorized representatives as of the day and year herein first above written.
