CALDWELL URBAN RENEWAL AGENCY
July 31,2017
7:00 p.m.
(ROLL CALL)
The special meeting of the Caldwell Urban Renewal Agency convened at 7:00 p.m. in the Caldwell Police Department
Community Room with Chairman Hopper presiding_
Roll was called by the secretary. Present: Commissioner Hopper, Commissioner Porter, Commissioner Warwick,
Commissioner Stadick,Commissioner Allgood and Commissioner Ramirez(via phone).
Staff members in attendance: Mark Hilty, E]Jay Waite, Mayor Nancolas, Brent Orton, Steve Fultz, and Robb
MacDonald.
(CONSIDER THE PURCHASE AND SALE AGREEMENT WITH CAPITOL DISTRIBUTING, INC.)
Mark Hilty,Urban Renewal Agency Attorney, 1303 12`h Avenue Road,Nampa provided the staff report and outlined the
contents of the proposed Purchase&Sale Agreement with Capitol Distributing. He acknowledged the presence of Mike
Bolner and Tremayne Arnold representing Capitol Distributors.
He noted that the document has been under consideration for the past few months. Capitol Distributors is desirous of
acquiring the property and moving forward with construction.
Mr.Hilty addressed items of concern currently under discussion with Capitol Distributing legal counsel:
• Relocation of the 400-Lateral [aka Horton Lateral]. The City is currently working with Pioneer Irrigation
regarding this matter.
• Net square footage versus gross square footage regarding inclusion of the Skyway right-of-way easement.
• Extension of the utility stubs.
• Liability issues concerning Capitol Distributors wanting a permanent warranty concerning approaches on the
400-Lateral as it relates to truck usage.
• Date of completion of improvements along Skyway.
• The current farm lease on the parcel and the availability of the farmer harvesting that crop.
Discussion followed concerning traffic issues along KCID Road and Skyway, cost of right-of-way improvements,
estimated cost of reimbursing for the farm crop versus deferral of construction, improvements and maintenance to the
400-Lateral, future canal crossings, easements matters, and liability issues(warranty) concerning usage of trucks on the
400-Lateral right-of-way.
Mr. Hilty clarified that instruction could be given of staff the URA Commissioners to continue to negotiate with Capitol
Distributors or to hereby cancel any further negotiations. Steve Fultz would begin to again market the property for other
potential development is negotiations cease. He noted that numerous attempts have been made to negotiate on the
various matters of concern.
It was agreed that recommendations from legal counsel regarding any liability issues with the development would be
observed. Chairman Hopper expressed his concern that acknowledging the development concessions within the
Purchase&Sale Agreement could set a precedent for future development requests.
Commissioners Stadick recommended that an appropriate deadline be determined for the completion of negotiations.
MOVED by Stadick, SECONDED by Porter to set a deadline of August 20, 2017 for negotiations with Capitol
Distributors concerning the Purchase and Sale Agreement with the provision that recommendations be brought forward
by legal counsel at a Special Urban Renewal Agency Meeting to be scheduled on August 21,2017,if necessary.

Mayor Nancolas suggested an alternative approach for resolving liability matters as addressed by legal counsel. He
recommended that the parcel "as is"thereby allowing Capitol Distributors to make the needed improvements. The cost
of improvements would be subtracted from the land price.

MOVED by Stadick,SECONDED by Warwick to adjourn at 7:38 p.m.
