A RESOLUTION OF THE CALDWELL URBAN RENEWAL AGENCY
AUTHORIZING THE EXECUTION OF THE TERMINATION OF RIGHT OF FIRST
REFUSAL AND OPTION AND THE TERMINATION OF RIGHT OF FIRST REFUSAL
AND OPTION AGREEMENT WITH FRESCA MEXICAN FOODS, LLC.
BE IT HEREBY RESOLVED by the Caldwell Urban Renewal Agency authorizes the execution of
the Memorandum of Termination of Right of First Refusal and Option and the Termination of Right
of First Refusal and Option Agreement with Fresca Mexican Foods, LLC made a part hereof and set
forth in full.
PASSED BY THE CALDWELL URBAN RENEWAL AGENCY this 14th day of November,
2016.

"Effective Date"), The Urban Renewal Agency of the City of Caldwell, Idaho., an independent
public body corporate and politic of 41 1. Blaine St., Caldwell, Idaho 83605 ("Seller") and.Fresca
Mexican Foods, LLC, a Delaware limited liability company authorized to do business in Idaho,
of 11193 W. Emerald St., Boise, Idaho, 83713 ("Buyer") terminated that certain Right of Frist
Refusal and Option Agreement between said parties dated as of August 8, 2016 (the"ROFR and

Refusal and Option recorded in the Official Records of Canyon County, Idaho on
September 13, 2016 as Instrument No. 2016037336(the"i eri k taidiini:ofROIR:and;Op on').
The ROFR and Option Agreement affects certain real property more particularly
described on Exhibit A.attached hereto and made a part hereof(the"Property").
Due to the parties' termination of the R.OFR and Option Agreement, as of the Effective
Date, the Memorandum of ROFR and Option is hereby terminated and released, and the ROFR.
and Option Agreement and the Memorandum of ROFR and Option shall cease to be
encumbrances against the Property. This Memorandum of Termination of Right of First Refusal
and Option may be executed in counterparts, each which shall be deemed to be an original, but
all of which shall constitute one and the same document.

MEMORANDUM OF TERMINATION OF
RIGHT OF FIRST REFUSAL AND OPTION
NOTICE IS IiEREBY GIVEN that, effective as of this eddy of Cc201.6 (the
"Effective Date"), The Urban Renewal Agency of the City of Caldwell, Idaho, an independent
public body corporate and politic of 411 Blaine St., Caldwell, Idaho 83605 ("Seller") and Fresca
Mexican Foods, LLC, a Delaware limited liability company authorized to do business in Idaho,
of 11193 W. Emerald St., Boise, Idaho, 83713 ("Buyer") terminated that certain Right of Frist
Refusal and Option Agreement between said parties dated as of August 8, 2016 (the"ROFR and
Option Agreement"), which was evidenced by that certain Memorandum of Right of First
Refusal and Option recorded in the Official Records of Canyon County, Idaho on
September 13, 2016 as Instrument No. 2016037386(the"Memorandum of ROFR and Option").
