Roll was called by the secretary. Present: Commissioner Callsen, Commissioner Pollard, Commissioner Stadick, and Commissioner Allgood. Commissioner Ozuna joined the meeting at 6:05 p.m. ElJay Waite, URA Treasurer at 411 Blaine Street, provided the staff report outlining the proposed URA budget. The workshop was adjourned at 6:42 p.m. Regular Meeting MINUTES CALDWELL URBAN RENEWAL AGENCY August 8,2016 7:00 p.m. (ROLL CALL) The regularly scheduled meeting of the Caldwell Urban Renewal Agency convened at 7:00 p.m. in the Caldwell Police Department Community Room with Chairman Hopper presiding. Roll was called by the secretary. Present: Commissioner Callsen, Commissioner Pollard, Commissioner Stadick,Commissioner Allgood,and Commissioner Ozuna. (CONFLICT OF INTEREST DECLARATION) None. (AMEND/APPROVE AGENDA) MOVED by Callsen, SECONDED by Stadick to amend the Consent Calendar by adding Item #2 to read: "Approve Resolution authorizing the drawdown amount of$502,528.72 from HM I, Design West, and Beniton Construction for the Caldwell School District Project for the months of June and July." and correct Item #2 under New Business to read ". . ,property located off Smeed Parkwa y," Reason: This information was not available at the time the agenda as posted. Page I of 6 (CONSENT CALENDAR) 1) Approve minutes from the Urban Renewal Agency Regular Meeting held on July 11,2016 and a Special Urban Renewal Agency Meeting held on July 18,2016; 2) Approve Resolution authorizing the drawdown amount of $502,528.72 from HMH, Design West, and Beniton Construction for the Caldwell School District Project for the months of June and July. Absent and/or not voting:none. MOTION CARRIED OLD BUSINESS: (ECONOMIC DEVELOPMENT ACTIVITY REPORT FROM STEVE FULTZ [JUNE 2016]} Project Fresh: continued work/negotiation. Continue working with attorneys on final revisions to the PSA. Project Jaker: continued communication. There has been discussion with area property owners to meet the need of the project. Decision to be made soon,needs to be up and in operation by summer 2017 Strider Group: Have submitted plans for first 60,000 sq ft building, anticipate completion by end of 2016/beginning of 2017. VanAuker meeting to discuss their existing property in Caldwell and potential for further investment...potentially involved with Project Jaker Project FBO: project continues to move along slowly...continued communication with the potential partnership with property owner,developer,and city. Land options: scheduled to close on the Hickman property. There is a site being considered for both Project Jaker and Lloyd. Continue research additional sites for potential development for manufacturing Caldwell CDBG: The Consolidated Plan, Action Plan, and Citizen Participation Plan have all been approved locally,submitted to HUD for their review and consideration Project Dailey: Continued work on this project...met with business owner to discuss further options could move soon. Potential of 20 new,higher paying jobs Project Dane: Draft PSA on the URA 2-acre site on Skyway Drive (across from Southwark) for light industrial use. It is expected to close on property soon. Two site visits,has secured financing. Anticipated jobs: 20-25. Project RFR: PSA are signed and moving toward a closing date. Freehold and Eisenberg: Working with developers of Sky Ranch on a retail pad opportunity at Highway 20/26 and Smeed Parkway. Business and demographic information has been provided for upcoming corporate meeting. Also considering some multifamily residential at the northeast area of the Park Manufacturing Partnership Video: Continued working with Idaho Power and City of Nampa on joint marketing efforts promoting our region for manufacturing. Video should be completed in September "We are Caldwell"videos completed...going live in August Project Russell: manufacturer/processor considering Sky Ranch area for construction of an 80,000 sq. ft. facility with the hiring potential of approximately loo jobs Project Lloyd: Continue to work with developers on this site for potential 200,000 sq. ft. facility with the creation of 200-250 jobs. Project Vance: Working on mixed use development in downtown(retail and senior housing). They desire assistance through CDBG and URA. (ECONOMIC DEVELOPMENT ACTIVITY REPORT FROM KERI SIOMAN[JUNE 2016]) Projects Business Improvement District (BID): Continued efforts for establishing the BID. BID team set out working with individual property owners to secure signatures of support.BID submission on July 18th. Buxton Co:Finalized 1 st year negotiations with Strider Group as the City's partner for the retail recruitment product.City Council approved resolution to proceed with Buxton on July 18th. Trolley Square Project:worked with Reel Theatre development team on site development. Page 2 of 6 Fagade Program: worked with Public Works and Engineering to finalize costs and process for the fagade program via the Business Local Improvement District. Facade Architectural Team: Also worked with a small group of downtown property owners and GGLO. Reviewed future process of establishing design review team and toured many of the buildings around the plaza to evaluate the extent fagade improvements. Community Development Block Grant(CDBG) Saratoga.released the Request for Proposals(RFP)and distributed to hoteliers. (aka Project Cradle) RelocatlonlRetention worked with business owners to relocate existing local businesses to other Caldwell locations where expansion is possible. Roots: worked with business owner to relocate local bar impacted by the Saratoga project. Recruitm en t Restaurants Brewery Downtown living All listed recruitment projects are still active projects and are in some form of business development, site selection, or start-up. Other Professional meetings with various industries regarding downtown redevelopment including: bankers,architects with historical building experience,and builders. Ribbon Cutting for National Broker Connect on Main St. Marketing and Inventory: began efforts to start developing marketing materials to prospective businesses and started building an inventory of available properties for lease. "We are Caldwell" videos: finalized five videos about local business owners. Distribution is pending by Destination Caldwell. Event Work: o Sunnyslope Wine Trail Annual Festival planning in downtown Caldwell(August 20) o Caldwell Chamber's Tourism Committee:Farm to Fork Dinner planning(September 9) NEW BUSINESS: (CONSIDER ACCEPTANCE OF THE URBAN RENEWAL AGENCY TENTATIVE BUDGET AND SET THE PUBLIC HEARING DATE TO CONSIDER THE FY-2017 BUDGET ON AUGUST 22,2016 DURING A SPECIAL URBAN RENEWAL AGENCY MEETING TO BE HELD AT 6:00 P.M.) Chairman Hopper reported that a workshop was held at 6:00 p.m. prior to the URA Meeting to review the proposed budget. ElJay Waite,URA Treasurer,411 Blaine Street,provided the tentative budget and outlined the line items for the FY-2017 budget. He recommended acceptance of the tentative budget and to move forward with setting the public hearing date for August 22,2016. MOVED by Callsen, SECONDED by Pollard to accept the Urban Renewal Agency tentative budget for FY- 2017 and set the public hearing date for August 22,2016 during the Special Urban Renewal Agency meeting to be held at 6:00 p.m. Roll call vote: Those voting yes: Callsen, Pollard, Stadick, Allgood, and Ozuna. MOTION CARRIED Page 3 of 6 (CONSIDER RESOLUTION NO. 2416-27 AUTHORIZING THE EXECUTION OF A PURCHASE & SALE AGREEMENT WITH "PROJECT FRESH" CONCERNING PROPERTY LOCATED ON SKYWAY STREET IN THE SKY RANCH BUSINESS CENTER,PHASE 3) Steve Fultz,Caldwell Economic Development Director,presented the staff report. He noted that the agreement also includes a First Right of Refusal Option Agreement. It was noted that the documents have been reviewed by legal counsel for both parties. A First Right of Refusal Option Agreement is in regards to the additional 2.5 acres which brings the total of committed property to approximately 20 acres. The price of$1.41 per foot has been agreed upon. He recommended to move forward with executing the documents as presented. Chairman Hopper read the resolution by its title only: RESOLUTION AUTHORIZING THE APPROVAL OF THE PURCHASE AND SALE AGREEMENT AND THE RIGHT OF FIRST REFUSAL AND OPTION AGREEMENT FOR PROPERTY LOCATED IN THE SKY RANCH BUSINESS CENTER WITH FRESCA MEXICAN FOODS,LLC. MOVED by Pollard,SECONDED by Callsen to approve the Resolution No.2016-27 as amended to include the First Refusal and Option Agreement. MOTION CARRIED (CONSIDER RESOLUTION AUTHORIZING THE EXECUTION OF A PURCHASE & SALE AGREEMENT WITH "COLD STEEL CONSTRUCTORS" CONCERNING PROPERTY LOCATED IN SKY RANCH BUSINESS CENTER#2,PHASE 2) Steve Fultz,411 Blaine Street,reported that action needs to be delayed concerning this matter to an upcoming Special Urban Renewal Agency meeting to be held on August 22, 2016. He noted that the developers are desirous of having a round table meeting with the Red Carpet Team(City staff development team)prior to the final documents being presented for execution. MOVED by Callsen, SECONDED by Ozuna to continue this item to the Special Urban Renewal Agency Meeting to be held on August 22,2016. Ratify Payment to Idaho Power in the amount of$92,199.00 for Utility Relocation&Extension for Project Fresh Mr. Waite noted that the payment to Idaho Power is in regards to the relocation of utilities associated with the Sky Ranch property that was recently vacated. The funding was previously authorized by the Urban Renewal Agency. He explained the payment process with CHS Design West invoice submittals. The trustee is holding invoices and does not make a draw request until the total exceeds $1 00,000. There are sufficient funds to pay small invoices so payments are not delayed; therefore ,URA agendas will reflect ratification of smaller amounts in between the requests exceeding$100,000 throughout the time of the project. MOVED by Pollard,SECONDED by Callsen to approve the ratification of the CHS Design West invoice in the amount of$8,961.04 and the Idaho Power payment for$92,199.00 for utility relocation. Status report concernin g the develo went agreement with Gardner Company or proper located at 9'h&Arthur: Mr. Hilty reported that the extensive development agreement with Garner Company has been under review by the City Attorney and the developer's legal counsel. The agreement should be available for consideration by the URA Commissioners at an upcoming URA Meeting. It was suggested that this item be placed on the agenda for a special meeting to be held on Monday, August 15, 2016 at 6:30 p.m. (CHAIRMAN'S REPORT) Chairman Hopper reported that he signed closing documents for the purchase of downtown properties in preparation for future development options.
