CALDWELL URBAN RENEWAL AGENCY
DECEMBER 7,2015
6:00 p.m.
(ROLL CALL)
The regularly scheduled meeting of the Caldwell Urban Renewal Agency convened at 7:00 p.m. in the Caldwell Police
Department Community Room with Chairman Hopper presiding.
Roll was called by the secretary. Present: Commissioner Hopper, Commissioner Callsen, Commissioner Pollard, and
Commissioner Ozuna. Absent: Commissioner Biggers and Commissioner Feucht.
Staff Present: Mark Hilty,Garret Nancolas,ElJay Waite,Brent Orton,and Robb MacDonald.

MOVED by Ozuna,SECONDED by Pollard to approve the agenda as printed.

(REVIEW AND CONSIDER COMPETITIVE PROPOSALS FOR REDEVELOPING THE BLOCK OF
PROPERTY LOCATED BETWEEN 9TH AVENUE AND 10TH AVENUE AND BETWEEN MAIN STREET
AND ARTHUR STREET IN DOWNTOWN CALDWELL [TROLLEY SQUARE BLOCK
REDEVELOPMENT] PURSUANT TO IDAHO CODE§50-20111131)
Mark Hilty, 1303 12'Avenue Road,Nampa, provided the staff report. He noted that one response was received for
the Request for Proposal from Gardner Company. Mr. Hilty noted that the proposal meets the criteria as outlined
within the RFP.
Commissioner Callsen recommended a 90-degree orientation change thereby having the building(s) face Main Street
rather than Arthur Street.
Commissioner Pollard questioned the parking needs for the development.
Mayor Nancolas stated that a parking study was conducted. On-site parking would accommodate handicapped spaces
and some parking. Additional parking would be addressed by a lease with Union Pacific Railroad.
In response to questions from Commissioner Pollard,the Mayor stated that the theater would be a"first run"project.
In response to comments from Commissioner Callsen, Mayor Nancolas concurred that a parking facility should be
considered in conjunction with other potential downtown developments.
Chairman Hopper commented that urban planners often recommend off-site parking to encourage more interaction
with businesses in a downtown setting.

STAFF AS NECESSARY, TO NEGOTIATE A DEVELOPMENT AGREEMENT WITH THE SELECTED
PROPOSER FOR TROLLEY SQUARE BLOCK REDEVELOPMENT)
MOVED by Pollard,SECONDED by Callsen to authorize the Urban Renewal Agency staff with the assistance of City
of Caldwell staff, as necessary, to negotiate a development agreement with the selected proposal, thereby approving
and accepting the proposal from Gardner Company.

Roll call vote: Those voting yes: Pollard,Biggers,Feucht, Ozuna,and Callsen. Those voting no:none. Absent and/or
not voting:none.

Dustin Rose,4243 South Leonado, Meridian addressed his concerns. He stated that he owns property in Caldwell as
well as he serves as the representative on properties. He asked if the proposal was public information. He asked
questions concerning the meeting notice and closure of the property.
Mark Hilty, Urban Renewal Agency Attorney located at 1303 12th Avenue Road — Nampa, responded to questions
posed by Mr.Rose. Mr. Hilty reported that the Urban Renewal Agency may purchase the property separate from the
Gardner Company proposal. The City of Caldwell was not involved with the purchase of the subject property and the
Urban Renewal Agency closure(s) is still pending. Mr. Hilty clarified that the submitted proposal is not contingent
upon approval of the public but rather the approval or denial by the Urban Renewal Agency Commissioners.
Mr.Rose emphasized that the public is seeking information concerning the proposal.
A copy of the Gardner Company proposal was provided to Mr.Rose from Mark Hilty.
Mayor Nancolas clarified that the Urban Renewal Agency would not be building anything but rather the Gardner
Company would build all the structures.
Mr. Rose stated that the tenants in Trolley Square need to know if they are moving. He noted that he has property
within the downtown area where those businesses could be relocated.
(DOWNTOWN INCENTIVE GRANT PROGRAM)
Mark Hilty provided an update on the proposed Downtown Incentive Grant Program. He reported that he has met with
city staff to gather information for crafting such a document. He explained that the URA Local Business Incentive
Loan Program and a City of Caldwell Local Business Improvement District could partner together for the purpose of
business improvements. The Local Business Improvement District is addressed within Idaho State Code 5017-03(A)
for the purpose of facade improvements. Participation for the improvement district would be voluntary and
administrated by the City of Caldwell. Research is being conducted for cost estimates dealing with facade and fire
suppression sprinkler systems.
In response to questions from Chairman Hopper, Mr. Hilty clarified that a Business Improvement District is being
discussed with the Main Street Square Consultant, Dan Senftner. Business owners would pay into a fund which
would in turn pay for programming needs at the downtown plaza. The BID would assume budgeting management,
programming,and maintenance of the plaza program.
Mr. Waite explained that the Urban Renewal Agency would purchase the Local Business Improvement District bonds
which would be issued by the City of Caldwell. URA would be the bond holder and thus provide the funds to
reimburse the City for the completed work.

(URA TREASURER UPDATE)
Mr. Waite reported that the Southwest District Health Building closing date is scheduled for December 10, 2015 and
the Trolley Square Building is scheduled to close on December 30,2015.
