The regularly scheduled meeting of the Caldwell Urban Renewal Agency convened at 7:00 p.m. in the Caldwell Police
Department Community Room with Chairman Hopper presiding.
Roll was called by the secretary. Present: Commissioner Hopper, Commissioner Callsen, Commissioner Pollard,
Commissioner Biggers,Commissioner Feucht,and Commissioner Ozuna.
Staff Present: Mark Hilty,Elfay Waite and Robb MacDonald.

(SPECIAL PRESENTATIONS)
A. Scott Curtis—Caldwell YMCA Capital Projects
Scott Curtis (Senior Vice President) Boise Treasure Valley YMCA, provided a review of the Caldwell YMCA
programs since its opening in 2005. He noted that in 2015 over 600 hours were logged by volunteers within the
Caldwell facility.
Eric Bulluck, (Director) Caldwell Treasure Valley YMCA, provided information regarding proposed capital
improvement projects noting that additional space is needed to provide for the needs of the facility.
Cliff Naumann (Senior Vice President) Boise Treasure Valley YMCA, reported on the GROW study which was
conducted for the Caldwell center to determine how the facility could be more effective with the various programs
offered to the community.
Mr. Curtis clarified that the facility's footprint would not be expanded but that the existing space within the building
will be restructured to allow for additional programs. The capital campaign projects fundraising efforts will begin
after costs have been determined through the findings of the CROW study.
B. Holly Cook—Presentation concerning a proposed URA publication
Holly Cook, 411 Blaine Street provided information about a proposed publication highlighting the many
accomplishments of Caldwell Urban Renewal Agency since its inception in 1998. She noted that her research lead
her to a very informative website and publication from Salt Lake City, Utah. This approach provides member of
the community with a very transparent summary.
The commissioners stated their support for Ms. Cook and recommended that she move forward in creating the
document.

OLD BUSINESS:
Steve Fultz provided an Economic Development Activity Report.
Mr.Fultz reported that many developers are looking for existing buildings within the Treasure Valley.
Gem State Manufacturing: Site work to begin soon, construction documents nearly completed...working
with company to locate temporary facility.
Project Strider: New project with interest in acquiring industrial property in Sky Ranch for larger industrial
speculation building.
Project Moon: Large manufacturer needing 260,000 square foot facility, 253 jobs. The Caldwell site (Sky
Ranch/URA property) still in consideration. Distribution of the facility's product would be for the U.S. and
Canada Northwest area.
Project Hurt: potential for new site—continue working with realtor and business on a viable site in Caldwell.
Project Arcadia: new project from BVEP; 500 jobs to be created, $34 million investment;submitted site and
incentive packet;decision on location announcement by end of 2015...this is a BVEP lead.
Project Cap: Potential residential project for downtown...continue to meet with potential developer and
property owner to discuss opportunities...still awaiting decision on letter of intent. Considering several
sites in downtown.
Project Interstate: Company decided on a site in Tennessee; continued to work with Van Aukers on
additional leads for their site in Sky Ranch 40,000+square foot facility.
Project FBO: continued discussions with developer in working on potential site for development at the
Caldwell Industrial Airport.
Business Incentive Grants: Continued to work with Johnson Thermal Systems and Airstream Adventures
NW on their applications in verifying eligible expenses and employment.
Continued Work with the Southwest Idaho Manufacturers' Alliance on FTZ projects. Meeting with 2
prospective businesses in Caldwell on FTZ.
Project Senior: new project to Sky Ranch...considering acquiring lot in the area for relocation of a service-
based industry.
Project Drill: renewed project from early 2015. considering 20,000 sq. ft building to construct in Sky Ranch
on 2 acres.
Keri Smith Sigman provided the Downtown Economic Development Activity Deport.

for the College of Idaho's marketing classes Billboard project.

Coordination efforts and meeting with regarding downtown property redevelopment. Meetings with business and
property owners. Housing and Economic Development Conference in Boise, Idaho. Branding presentation to the
Caldwell Chamber Board. Marketing plans and preparation for Dan Stenfner's trip to Caldwell for the various meetings.
Retention and relocation of a downtown business work. Local Legends planning. Meeting with vendors regarding a
possible large scale concert in Caldwell. Canyon Springs RV Resort Ribbon Cutting. Finalization work with Roger
Brooks on the Caldwell Action Plan.
October 12-16,2015
Indian Creek Plaza Committee meetings and coordination. Chamber Luncheon. Continued marketing and inviting
downtown property and business owners to public meetings regarding Indian Creek Plaza. Coordination efforts
regarding downtown improvements. Retention work with Canyon County Community Clinic. Other meetings regarding
downtown development,future events,and parking.
October 18-22,2015
Contract fulfillment work and coordination with Dan Stenfner(Main Street Square, Rapid City)regarding Indian Creek
Plaza. Meetings were held with: Mayor, City Council, Development Team, Community Business CEOs, the Indian
Creek Plaza Task Force,Business Owners,Property Owners,and the Community Meeting.
October 26-30,2015
Indian Creek Plaza Committee meetings and coordination. Chamber coffee connect. Met with business owner
downtown about future downtown business incentive grants. Presented to a group of business men about branding and
Indian Creek Plaza. Event/Festival Planning workshop to Baker City, OR (training included getting and keeping
volunteers,social media marketing for events,and sponsorship). Downtown property site visit with potential developer.
Attended the Chamber's Mega Marketing event. Attended the Sunnyslope Wine Trail meeting.
Chairman Hopper asked if there have been inquires by those interested in retail. Ms. Sigman reported that some follow-
up has been made with potential retail vendors about the downtown.
(REVIEW RESOLUTION AUTHORIZING APPROVAL OF A BUSINESS INCENTIVE GRANT FOR
JOHNSON THERMAL SYSTEMS)
E1Jay Waite, 411 Blaine Street,provided the staff report and outlined the contents of the draft agreement. Discussion
followed concerning the time frame for the reporting period.
(CONSIDER RESOLUTION AUTHORIZING APPROVAL OF A BUSINESS INCENTIVE GRANT FOR
JOHNSON THERMAL SYSTEMS)
MOVED by Callsen,to accept the resolution as presented. The Motion died due to the lack of a second.
It was determined that the attorney and the treasurer would review and resolve concerns associated with this
agreement. This item will be brought back for further consideration at the December 14,2015 URA Meeting.
(UPDATE REPORT FROM THE CITY ATTORNEY CONCERNING THE PROPOSED DOWNTOWN
BUSINESS LOAN/GRANT PROGRAM)
Mark Hilty,City Attorney at 1303 12th Avenue Road,Nampa, provided the staff report. He suggested that an ad-hoc
committee be formulated as soon as possible to include the City Attorney,the URA Treasurer and other professionals
to review the various aspects of the program. He noted that Mr. Waite has been speaking with local banks as to
potential partnerships with this program.
Mr.Hilty clarified that a completed document would be presented at the December 141 2015 URA meeting with a goal
of implementing the program in January 2016.

Commissioners recommended the ad-hoc committee include a representative from a local bank, Keri Sigman, and
Jeremy Feucht.
NEW BUSINESS:
(CONSIDER A CONSULTING FEE PROPOSAL FROM HAMILTON,MICHAELSON&HILTY,LLP)
Mark Hilty, City Attorney at 1303 12th Avenue Road, Nampa, provided the staff Report. He proposed a flat fee
retainer amount of$3,450 with a target of 23 hours (at $150 per hour) per month on average be considered. There
would be an ability to review the contract after a 12-month period.
MOVED by Pollard, SECONDED by Feucht to enter into a monthly flat fee retainer of $3,450 with Hamilton,
Michaelson&Hilty.

(CONSIDER OFFER FROM STRIDER GROUP TO PURCHASE 25 ACRES OF LAND FROM THE URBAN
RENEWAL AGENCY)
Steve Fultz, Caldwell Economic Development Director, provided the staff report. He read an article regarding real
estate growth in the industrial sector. He noted that there have been thirty-three inquires this year with eighteen of
those looking for existing buildings to develop. The Strider Group is desirous of acquiring property in Caldwell for
the idea of building larger speculative buildings for manufacturing. A map showing the proposed building site was
distributed. He noted that the Strider Group has offered to purchase a 19-acre parcel in Sky Ranch at a rate of$1.36
ft.
Scott Thomson,Manager of Strider Group,LLC announced that they will be developing property at 43rd and Cleveland
Boulevard for light industrial purposes. They are interested in property within Sky Ranch for heavy industrial
purposes. It is their goal of have a 50,000 to 60,000 sq.ft.spec.building available in Sky Ranch as soon as possible.
Discussed followed in support of the proposal.
It was determined that the City Attorney should move forward in reviewing the proposed purchase agreement from
Strider Group for consideration at the next URA meeting.
(CONSIDER REQUEST FROM THE PUBLIC WORKS DIRECTOR CONCERNING THE TRANSFER OF
RIGHT-OF-WAY TO THE CITY OF CALDWELL(FOR AIRPORT AND ROADWAY PURPOSES) FROM
THE DILLON PROPERTY)
Robb MacDonald, 621 Cleveland Blvd., provided a map of the site and the proposed right-of-way dedication. He
explained that the airport master plan indicates that the airport runway in the future will be extended to the northwest.
As part of this 1,100 foot extension, the runway will eventually be extended across Linden Road therebyclosing it
down on the north side of the airport. When this occurs, it will be necessary to have Linden Road diverted and tie into
Smeed Road. A quitclaim deed is needed to transfer the right-of-way from the Urban Renewal Agency to the City of
Caldwell in anticipation of this future development. He noted that it would be the responsibility of the potential
developer to improve the roadway frontage.
Mr. MacDonald reported that the property is currently being cleared of trees and debris to eliminate potential
trespassing and loitering. He reported that asbestos mitigation for the residence on site will be required.
MOVED by Callsen, SECONDED by Pollard to approve the request for transfer of the right-of-way from the Urban
Renewal Agency to the City of Caldwell pursuant to the official documents being brought back for consideration at the
next URA meeting to be held on December 14,2015.

(CHAIRMAN'S REPORT)
Chairman Hopper presented a letter from Tyler Johnson of Land Advisors Organization requesting possible commission
rates paid to him for the properties within the downtown. He suggested that the commissioners review the request and
report back to Mr. Waite concerning their recommendations prior to the December 141h meeting. A draft will be
presented at the next meeting concerning a response to Mr.Johnson.
Mr. Waite clarified that Mr. Johnson will be paid a commission rate through the transaction with Southwest District
Health and the Sundowner(Trolley Square).
An update was provided from Mark Hilty concerning the RFP process for the Sundowner, Inc. & Southwest District
Health property. He stated that the notice was published as well as direct mailings to four developers who had
previously expressed interest in downtown Caldwell property. The deadline for submissions is November 30th.
It was recommended that an Urban Renewal Agency Special Meeting be noticed for Monday, December 7,2015 at 6:00
p.m.prior to the City Council Meeting to review submittals from the RFP for this potential downtown development.
