HomeMy WebLinkAbout2003-11-19 URA Minutes, Special MeetingMEETING MINUTES Special Meeting CALDWELL URBAN RENEWAL AGENCY November 19, 2003 - 12:00 noon Caldwell City Hall Conference Room A special meeting of the Caldwell Urban Renewal Agency was held November 19, 2003 at 12:00 noon in the Conference Room at City Hall, with Chairman Waite presiding. The roll was called; those present were ElJay Waite, Mayor Nancolas, Dennis Callsen, Matt Beebe and Leona Fouts. The purpose of this meeting is to discuss the land exchange and review the documents presented by Pioneer Title. Curt Cramer, Manager of Pioneer Title, presented the documents and details relating to the exchange of land between Freehold Development and CEURA. The documents, as presented by Curt, obligate CEURA to pay 45 days of taxes on the property being purchased from Freehold Development. A previous verbal agreement between Freehold and CEURA places that obligation with Freehold. Pioneer Title will amend the documents to reflect payment of taxes by Freehold. CEURA’s cost to complete the land exchange is as follows: Title Insurance $2,085.00 Irrigation $2,296.22 ½ 1st closing $ 200.00 ½ 2nd closing $ 200.00 Recording $ 12.00 TOTAL $4,793.22 The Development and Land Exchange Agreement drafted by Freehold on 8/15/03 and authorized by the CEURA commissioners on 9/2/2003 has not yet been signed by Freehold Development. It is critical that this project keep moving forward, consequently the CEURA board has opted to sign closing documents and record the land exchange prior to final execution of the Land Exchange Agreement. CEURA has sufficient leverage within the agreement to compel Freehold to sign the agreement in the near future. Motion to authorize ElJay Waite to sign the transaction documents and complete the land exchange with Freehold Development, and authorize the survey documents, which are included with the Development and Land Exchange Agreement, to be delivered subsequent to the signing of the closing documents: Nancolas/Callsen M/S/P Motion to enter into Executive Session (Title 67-2345) at 12:25 Fouts/Beebe M/S/P Motion to exit Executive Session at 12:34 Fouts/Beebe M/S/P Motion to retain Spectrum Environmental to do a Phase 1 Assessment of selected properties: Nancolas/Beebe M/S/P Motion to adjourn: Beebe/Nancolas M/S/P Meeting adjourned 12:40p.m. Respectfully Submitted, Leona R.
