COUNCIL CHAMBERS, NOVEMBER 7, 1934.
9 :30 P. M.
A Special Meeting of the City Council met on Call of the Mayor, with the Mayor,
. E. L. Vassar, presiding.
On Roll Call the following Councilmen answered present: Edgar L. Oakes, W. S.
Boynton, C.E. Bales, G.W. Montgomery, G. M. Fenrich. Absent: W. R. Hollingsworth.
The Mayor stated that the object of the meeting was to consider the bids for
the purchase of 081,000.00 Refunding Municipal Bonds for the City fdf Caldwell.
Thereupon the Council entered into a discussion and'oonsideration of the bids,
These bids were carefully considered by the Council but no definite action was taken
and the matter was referred to the Finance Committee.

On motion duly seconded and carried the Council was declared adjourned on can
of the Mayor.

The Mayor informed the Council that this meeting vets called for further con-
sideration of the bids for the purchase of 081,000.00 Refunding Municipal Bonds for the
City of Caldwell.

The Clerk read a telegram from Brown- Schlessman -Owen & Co., offering a bid
for the purchase of Refunding Bonds.

Councilmen, Edgar L. Oakes, explained the Dahlstrom /bid which was the lowest
one offered.
RESOLUTION 7

Thereupon the following preamble and resolution was introduced by Bales:
Whereas, it appears that Eighty -one Thousand Dollars ($81,000.00),
of outstanding valid legal bonds of the City of Caldwell, optional
Jan>3ary 1, 1935, bearing interest at the rate of five and one -half
percent (50) semi - annually and six percent (6 %) annually stay b re-
funded to the financial advantage of the City of Caldwell on an
amoritized plan to be due from two to fifteen years, bearing interest
at the rate of four percent (4%), payable semi- annually on January
let and July let of each year; and
WHEREAS, The First Hati. -nal Bank of Caldwell, Idaho, and Frank
Dahlstrom & Co., Inc., of Boise, Idaho, are experts in connection
with municipal bonds, and are able and willing and have offered to
perform and prOV1510;; for the City of Caldwell expert service in
connection with the authorization and issuance of refunding bonds for
the above amount, and the Mayor and Council of the City of Caldwell,
Idaho, believe and it is their judgment that it will be to the financial
interest of the City of Caldwell to employ expert service in connection
with the refunding of said bonds; and

WHEREAS, The said First National Bank of Caldwell, Idaho, and Frank
Dahlstrom & Co., Inc,, of Boise, Idaho, have jointly offered to enter into
a contract for the refmcidding of said bands, a copy of which said contract
is as follow, to -wit:
Caldwell, Idaho November 10, 1934.
To the Honorable Mayor and Cit,r Council of the City of Caldwell,
Idaho:
You have advised us that you desire to refund 081,000.00 of the
outstanding valid and legal bonds of your city, which were issued as
of January 1st 1925, optional January 1st 1935 for 7,000.00 and due
January 1st 1945, bearing interest at the rate of 5, payable semi-
annually, and issue of July 1st 1920 for 014,500.00 due January 1st
1940, optional January 1st 1930, bearing interest at the rate of 6%.
In connection with the refunding of said bonds, we make the
following proposition:
We will cause to be prepared and furnish all legal proceedings
necessary to be adopted by the city to authorize the issuance of the
refunding bonds, and will also furnish printed bonds ready for execution,
together with the approving opinion of our attorneys, as 'to the legality
of said proceedings and said bonnds. Bonds to be legally issued to the
satisfaction of our attorneys. Said new refunding bonds to be dated
January let 1935 and amoritized from two to fifteen years, beating inter-
est at the rate of 4% per annum, payable semi - annually on January let and
July lat of each year.
We agree to furnish a buyer for said refunding bonds at par and
accrued interest on date of sale.
We agree to take delivery of said bonds at The First National Bank,
of Caldwell, Idaho.
For all legal and other expert services as enumerated above you are
to pay us one and one -half per c ant of the par value of the bonds re-
funded, when the terms of this contract is fulfilled by us.
This offer is for immediate acceptance only.

The above and foregoing offer is hereby accepted for and on behalf of
the City of Caldwell, Idaho, persuant to a special meeting held this 10th
day of November 1934.

NOW, TIMREFORE, HE IT RESOLVED and THIS DOES RESOLVE AND ORDER That the
Mayor and Council of the City of Caldwell shall employ said First National
Bank of Caldwell and Frank Dahlstrom & Co., Inc., to perform expert service
and accept said contract, and that the necessary steps R_1e taken by the proper
officers of the City of Caldwell to refund said Eighty -one Thousand Dollars
(081,000.00); and
BE IT FURTH -R RESOLVED That the Mayor and Clerk of the City of Caldwell,
Idaho, be, and they are hereby authorized and directed to execute in quadruplicate
on behalf of the said City of Caldrell the said above mentioned contract so tens•
dered and offered by the above named First National Bank of Caldwell, Idaho, and
Frank Dahlstrom & Co., Inc„ duly attested under the seal of the City of Caldwell;
that three copies thereof be delivered to the above named First National Bank
of Caldwell, Ideh o, and Frank Dahlstrom & Co., Inc., and one copy thereof be
retained and filed in the office of the Clerk of the City of Caldwell, Idaho.
Thereupon after due cenaideration Councilman Montgomery moved the adoption of
Paid preamble and resolution; said motion was duly seconded by Councilman Oates.
A yea and nay vote was had thereon with the following results:
Yea: Oakes, Bales, Boynton, Montgomery and Fenrich

Thereupon the Mayor declared the motion carried and the preambel and resolu

The Mayor informed the Council that this meeting was called to take up unfinishi
business.
The City Clerk read a letter from B.W.Rice asking the City to lay a pipe line

rom the Allison-property to his property. The Council decided that
if Mr. Rice would
rnish the pipe -the City would put in the line.
The Clerk read a letter from the Idaho Municipal Officers'-Association
stating
t hat a two day program would be held in Twin Falls on December 5th end 6th.

Councilman Hollingsworth presented a list of uncollectable
water bills and asked
