yr. Ewing of Smith & Ewing Attorneys At Law requested the Councilexacute a quit claim deed to the

following described real property situate in the City of Cald"ells
Lot 19 Block 50 of the Revised Map of Caldwell, Idaho
Lots 4 5 -6 -7-8 in Block 50 of Devers Addition to the
City. of Caldwell, Idaho.
Regarding this property he explained he had quieted title last year and in the quiet title action
the City taxes and assessments for the years prior to March 24, 1938, were cancelled by order of court.
That due to legal technicality concerning the service of process on the City of Caldwell,a question had
now arisen concerning this point and that the title could be cleared by the issuing of a quit claim deed
requested subject to the taxes from March 24, 1938, the court having cancelled the previous taxes.
Upon motion by Fenrich, seconded by Harding, the following R was proposed.

RESOLVED that the Mayor and City Clerk are authorised to execute quit claim deed as above re-
quested.
Upon Roll Call it appeared the motion was unanimously carried.

each hereby acknowaedge notice of a special meeting of said City Council to be held at the Council Chambers
in the City Hall in the City of Caldwell, Idaho, at the hour of 2n00 ovclock P. M. on the 5th day of Nov -
ember, 1947, for the transaction of all business in connection with the following projects The consid-
eration and acceptance of the Grant Agreement of the United States of America regarding the improvement of
the Caldwell municipal Airport in connection with the Civil Aeronautics Administration Federal Airport
Program, which object kas submitted to each of the undersigned in writing.

On Roll Call the following Councilmen answered presents Leo J. Mason, Wm Glaisyer, L. E. Burrell,
Dale Fenrich, John Myers, Bryan Harding.
Mayor McNeill stated that the purpose of the special meeting was to secure authorisation by the
Council to enter into the Grant Agreement with the United States Government in connection with the Civil
'Aeronautics Administration Federal Airport Program,-which had been received by the City Clerk on this date,
as delivered by H. K. Glidden, District Airport Engineer, Civil Aeronautics Administration, Boise, Idaho.
The Grant Agreement as delivered by Mr. Glidden was read and discussed.
Whereupon, it was mohed by Councilman Myers and seconded by Councilman Harding that the following '

A RESOLUTION ACCEPTING THE GRANT OFFER OF THE UNITED STATES OF AMERICA THROUGH THE CIVIL AERO-
NAUTICS ADMINISTRATION OF A MAXIMUM SUN OF $11,300.00 FOR THE ImPROVEIWT.OF THE.CALIC' MUNICIPAL AIRPORT.
M EREA9, the United States of America has tendered the City of Caldwell the maximum sum of
$11,700.00 for the improvement of the Caldwell Municipal Airport under the Civil Aeronautics Administration 4
Federal Airport Program; and
WHEREAS, the terms ofsaid offer are acceptable to the City Council of the City of Caldwell.
BE IT RESOLVED That the following Grant Agreement as executed by the United States of America
through the Civil Aeronautics Administration for the improvement of the Caldwell Municipal Airport be ac-
cepted and the Mayor be authorized to sign said agreement in behalf of the city and the City Clerk to attest
same, said agreement being in the following form,

FROut The Administrator of Civil Aeronautics (Herein referred to as the Administrator) II
WHEREAS, The Sponsor has submitted to the Administrator a Project Application dated September B, 1947, for
a grant of Federal funds for a project for the development of a Class I airport (Hereinafter referred to as
the :project") inaccordance with the National Airport plan formulated by the Administrator, which project

is described as follows: Name of airport, Caldwell Project No. 9 -10 -030 -701; scope and description of de-
'
velopmentt Grade and drain NR /SE landing strip; stabilize three stub taxiways; and has also submitted to
the admiriiatratar a Sponsor's Assurance Agreement executed pursuant to a resolution adopted by the mayor
and Council of the City of Caldwell, Idaho, at a special meeting held on August-25, 1947, relating to the
operation and maintenance of said airport; which Project Application and Sponsors Assurance Agreement are
hereby specifically incorporated heroin and made part hereof.
NOW THEREFORE, pursuant to and for the purposes;oficarrying out the provisions of the Federal Airport Act
(60 stat. 170;. Pub. Law 377, 79th Congress); and in reliance upon the representations made in said Project
Application and Sponsors Assurance Agreement; and in consideration of (a) the Sponsor's acceptance of this '
offer, as hereinafter provided, and (b) the benefits to accrue to the United States and the public from
the accomplishment of the Project and the operation and maintenance of the airport,
THE AMMTISTRATOR, FOR AND ON BEHALF OF THE UNITED STATES HE -EBY OFFERS AND AURESS to pay, as the United
Statdt share of the coats incurred in accomplishing the project, 56.30 percentum of all allowable project
coots, subject to the following terms and conditions:
1. The maximum obligation of the United States payable under this offer shall.be $l1
2. The Sponsor shall:
(a) Begin accomplishment of the Project within a reasonable time after acceptance of this offer, and G
(b) Carty out and complete the Project in accordance with the terms of this offer and the Faderal
Airport Act and the Regulations promulgated thereunder by the Administrator on January 9, 1947,
as amended, which Act and Regulations are incorporated herein and made apart hereof, and
(c) Carry out and complete the Project in accordance with plans and specifications (including re-
revisions or modifications thereof), as approved by the Administrator or his duly authorised
representatives.

3. Any misrepresentation or omission of a material fact by the Sponsor concerning the Project or the
Sponsor's authority or ability to carry out the obligations assumed by the Sponsor in accepting this offer
shall terminate the obligation of the United States, and it is understood and agreed by the Sponsor in

accepting this offer that if a material fact has been misrepresented or omitted by the Sponsor, the Ad—
ministrator on behalf of the United States may recover all grant payments made.
4. The Administrator reserves the right to revoke or amend this offer at any time prior to acceptance by
the Sponsor as hereinafter provided.
5. This offer shall expire and the United States shall not be obligated to pay any of the allowable costa
of the Project unless this offer has been accepted by the Sponsor, as hereinafter provided, within 66 days
from the above date of offer, except that the Administrator may, in writing, prior to the expiration of
said 60 days, extend such time for acceptance.
6. By its acceptance of this Grant offer, the Sponsor hereby covenants and agrees that it will take such
action as is neceesary to have it declared by a court of competent jurisdiction to be the fee title owner
of record to the N/ft quarter of Section 21, Township 4, Range 3 N WBN, as s hown as Exhibit "As attached
to the Sponsor's Assurance Agreement.

Acceptance of this offer shall be evidenced by execution of this instrument by the Sponsor, as hereinafter
provided, and said offer when so accepted shall xomprose a Grant Agreement constituting the obligations and
and rights of the United States and the Sponsor with respect to the accomplishment of the Project and the
operation and maintenance of Caldwell Municipal Airport.
