HomeMy WebLinkAboutURA RES 2025-25 1st Amend to DDA with RRC Contr.RESOLUTION NO.2025-_I5 A RESOLUTION OF THE URBAN RENEWAL AGENCY OF THE CITY OF CALDWELL, IDAHO APPROVING AND AUTHORIZING THE EXECUTION OF THE FIRST AMENDMENT TO DISPOSITION AND DEVELOPMENT AGREEMENT WITH RRC CONTRACTOR, INC. BE IT RESOLVED BY THE BOARD OF COMMISSIONERS OF THE URBAN RENEWAL AGENCY OF THE CITY OF CALDWELL, IDAHO ("Agency"): Section 1: Agency herby authorizes its Chairman to execute the First Amendment to Disposition and Development Agreement attached to this Resolution and incorporated here as if set forth in full. ATTE : RET RY a' 'ti Sti�:..a� RESOLUTION NO. 2025-dam , Page 1 FIRST AMENDMENT TO DISPOSITION AND DEVELOPMENT AGREEMENT THIS FIRST AMENDMEN TO DISPOSITION AND DEVELOPMENT AGREEMENT (this "First Amendment") is made effective 8 i)• i 4 , 2025, between the Urban Renewal Agency of the City of Caldwell, Idaho, a public body, corporate and politic, organized pursuant to the Idaho Urban Renewal Law, Title 50, Chapter 20, Idaho Code as amended ("Agency"), and RRC Contractors Inc., an Idaho corporation ("Developer"). RECITALS: A. Agency and Developer entered into that certain Disposition and Development Agreement dated effective December 12, 2022 (the "Original Agreement"), for the purpose of memorializing the disposition of Agency owned property to Developer to facilitate the Project as defined in the Agreement. B. Developer and Agency desire to amend the Original Agreement to amend and replace the Schedule of Performance. The parties agree and acknowledge that Developer has been delayed in proceeding on the Project through circumstances beyond its control or the control of the Agency. Those circumstances include, without limitation, geotechnical difficulties in the Agency's work to make the site "shovel -ready" for development, relocation of electrical infrastructure in the adjacent alley, and construction coordination efforts with an adjoining bridge project by the Idaho Department of Transportation. AGREEMENT: NOW, THEREFORE, in consideration of the foregoing Recitals, the agreements set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Agency and Developer hereby agree as follows: 1. Defined Terms: All capitalized terms not otherwise defined herein shall have the meanings set forth in the Original Agreement. 2. Attachment 2, Schedule of Performance: Attachment 2, Schedule of Performance shall be replaced in its entirety with the Attachment 2, Schedule of Performance, attached hereto and incorporated here by this reference. 3. Counterparts: This First Amendment may be executed in multiple counterparts, each of which shall be deemed an original, but all of which, together, shall constitute one and the same instrument. 4. Ratification: Except as amended by this First Amendment, the Original Agreement is hereby ratified and confirmed and all other terms, provisions and conditions of the Original Agreement shall remain in full force and effect, unaltered, unwaived and unchanged by this First Amendment.
