A RESOLUTION OF THE CALDWELL URBAN RENEWAL AGENCY
ADOPTING A MEMORANDUM OF UNDERSTANDING BETWEEN THE CITY
OF CALDWELL AND THE CALDWELL URBAN RENEWAL AGENCY
REGARDING CITY AND AGENCY SHARED STAFF
BE IT HEREBY RESOLVED by the Caldwell Urban Renewal Agency authorizes the
acceptance of the document made part hereof and set forth in full.

MEMORANDUM OF UNDERSTANDING
(City and Agency shared staff)
fh THIS MEMORANDUM OF UNDERSTANDING ("MOU") is entered into this
40day of &H& , 2025 ("Effective Date"), between The Urban
Renewal Agency of the City of Caldwell, Idaho, an independent public body corporate and
politic, of 205 S. 60' Ave, Caldwell, Idaho 83605 ("Agency") and The City of Caldwell, Idaho,
an Idaho municipal corporation, of 205 S. 6t' Ave., Caldwell, Idaho 83605 ("City"). Agency
and City may be referred to herein as a "Party" or collectively as the "Parties."
Whereas, Agency is authorized to hire such personnel as are necessary for the conduct
of its urban renewal activities pursuant to Idaho Code 50-2006(5)(b); and
Whereas, Agency has a practical need for personnel skilled in engineering, planning
and zoning, finance, economic development, executive and clerical services; and
Whereas, City has the same or similar personnel needs and has current employees
with skills and experience in the foregoing disciplines who can, on a part-time basis, assist
Agency; and
Whereas, Agency and City have statutory authority and direction to cooperate with
one another on the implementation of urban renewal activities pursuant to Idaho Code 50-
2015(c); and
Whereas, Agency and City have agreed that City will assign its personnel to fill the
following positions and perform the following job duties for Agency; and
Whereas, Agency will compensate City for such services.
This MOU memorializes the understanding between the Parties related to City
personnel that will be assigned to perform the following tasks and services for Agency.
A. Personnel and Job Descriptions:
1. Engineering Services- Employee shall coordinate with City Public Works
to determine utility and infrastructure capacity requirements for urban renewal projects,
track projects through entitlements and ensure designs are in compliance with applicable
laws, rules and regulations; ensure projects adhere to City/Agency requirements and
standards set forth in approvals or agreements; oversee construction either through
inspection or project management depending on whether the project is a City, Agency or
developer driven project; provide project updates to the Agency and relevant Agency
personnel.

2. Planning & Zoning Services — Employee shall work with City Planning &
Zoning on land use and zoning requirements for all urban renewal projects prior to and as
a part of Agency development agreements; provide follow-up compliance assurance
throughout development as P&Z issues arise.
3. Agency Treasurer- Employee shall be responsible for financial oversight,
reporting and coordination of Agency funds and activities. Includes financial audits and
reporting, bank and financial account reconciliation, preparation of the annual Agency
budget, provide financial forecasts, identify funding gaps, and align projects with budgeted
resources; process and manage Agency invoices for payments; maintain organized records
for all transactions and payments; oversee all bonding and financial recommendations,
reporting and compliance.
4. City Economic Development- Employee shall pursue, recruit and follow-
up with business looking to expand operations and forward any Agency recommendations
and opportunities to relevant Agency personnel; seek and coordinate recommendations
from the Agency Commission; work with City departments on infrastructure -related
improvements in any urban renewal project area.
5. Agency Executive Director- Employee shall coordinate strategic planning,
track all projects, and work with both the Agency Commission and developers as point of
contact; provide annual reports; manage new recommendations for project and reallocation
areas; coordinate and recommend professional services to work -with the " Agency
Commission; write and solicit input on requests for proposals; assist with new urban
renewal formation and planning and submit project areas and specific sites in response to
state or regional requests for information.
6. Agency Clerk- Employee shall post the agendas, compile meeting minutes,
track all documents processed through Agency and assist with public records request
responses.
B. Compensation:
1. Agency shall compensate City for employee or personnel time attributable
to Agency tasks.
2. Agency and City shall communicate and work together in the preparation
of each fiscal year budget to determine a fair monthly flat fee reimbursement to City for
such the foregoing employee or personnel time.
