1943, by and' between THE CITY.OF CALDWELL, CANYON CO TY,
IDAHO, a municipal corporation, party of the first part and
MACK,S. JOHNSTON. of Caldwell, Canyon County, Idaho,' party -of
the second part and JACK W.+-MERLIN (be ng,one and the same
person as Jack Medlin) and J0,HN MERLIN (,being one and the same
person a's J., C. Medlin) parties of ,the•,•,third part, 1VITNESSETH:
That ,IHEREAS, 'Heretofore :a certain agreement,en-
titled "Airport Agreement" was -made and -entered into, dated
July 1, 1940, between the City of Caldwell,, as party of the
first part and MACK S. JOHNSTON, as party of the second part,.
leasing and granting to the party of,the second part therein,
certain rights and privileges in the'Municipal Airport of the
City of Caldwell,' (Danyon County, Idaho,'. which said agreement
terminated as of July 1, 19411 and
WHEREAS, -Said agreement.above mentioned was ex-
tended by the City of Caldwell.. and the said Mack S. Johnston
by written agreement to the lst day of July, •1945; and
WHEREAS, Said agreement above mentioned, as extended,
was assigned by the said Mack S. Johnston to Jack 111. Medlin ,
and John Medlin, which said assignment was consented to in writ
I ng by the. City of Caldwell, by that certain "Consent to Assign-
ment (Airport Agreement)", dated February 13, 1942,'and
111HEREAS, It is desired by all.of the parties hereto
that'all of said agreementSshall be terminated and superseded
by a new Lease and .Agreement to be made'and entered into between
the City of Caldwell, Canyon County,. Idaho, a municipal corpora=
tion and Mack S. Johnston, relative'to said airport;
NOW, THEREFORE;, For and in consideration of the mu-
tual covenants herein cont'aihed and the making of said new lease

between the,C,ty of Caldwell and hack S. Johnston, it is hereby
mutually agreed by and between all 'of the,partiesshereto that
all of said agreements hereinabove mentioned be'and the same
hereby are terminated and superseded by a new agreement to be
made •and enterbd`into ''by' and between the City of Caldwell, as,

party of the first part and Mack S. Johnston, as party of the
second part, relative. to said airport, which said neyl agreement
shall -be dated the-2. 3,- •day of , 1943.
IN,WITNESS WHEREOF, the arty of the first part
pursuant to resolution passed by its Mayor and Council, has
caused this instrument to be executed by its Mayor, duly attested
by the C1erk,of,the City of,Caldwell, this= IZ'�'j dayof
