MINUTES
Special Meeting
March 28,2022

(ROLL CALL)
The special meeting of the Caldwell Urban Renewal Agency convened at 4:00 p.m. in the Caldwell Police
Department Commimity Room with Vice-Chairman Porter presiding.
The agency secretary called the roll. Present: Commissioner Porter, Commissioner Warwick, Commissioner
Fultz, Commissioner Moore, Commissioner Allgood, and Commissioner Doty.
Absent: Commissioner Ramirez.
There were no declarations of conflict by the commissioners concerning the agenda item.
NEW BUSINESS:
fACTION ITEM: CONSIDER RESOLUTION NO. 2022-13 ACCEPTING AMENDMENTS TO THE 7TH
& MAIN STREET (CREEKSIDE) DEVELOPMENT AND DISPOSITION AGREEMENT)
Mark Hilty, City Attorney at 1303 12*'' Avenue Road, Nampa, presented the staff report. He noted that the
amended Development and Disposition Agreement accommodates clarification with the inclusion of
Attachment A", which outlines the costs eligible for reimbursement in accordance with the Idaho Urban
Renewal Agency Statute. The "Letter of Intent" regarding the parking agreement was approved by City
Council on March 21, 2022 and will be included within the closing documents. Both parties have agreed
that the parking agreement does not need to be in place prior to the closing. Idaho Power, Spark Light, and
Century Link have relocated utility lines at the site. Century Link is finishing their portion of the line
relocation process this week.
In response to questions from Commissioner Fultz, Mr. Hilty reported that the "No Build Easement"
document was also approved by the Caldwell City Council on March 21,2022.
In response to questions from Commissioner Allgood, Mr. Hilty reported that the initial DDA document did
not have the finalized reimbursement costs.
Carol Mitchell, URA Treasurer addressed questions regarding the Caldwell Urban Renewal Agency. She
confirmed that .there are sufficient allocated funds for completion of the project. She recommended that a
workshop be held on April 11, 2022 at 6:00 p.m. to provide additional information to the commissioners
concerning current and projected URA projects.
Chandler Austin, Representative of 7^ & Main Street Developers provided an update report concerning
progress as the site in preparation for construction.
Vice-Chairman Porter read the resolution by title only:
A RESOLUTION OF THE CALDWELL URBAN RENEWAL AGENCY AUTHORIZING THE
EXECUTION OF THE SECOND AMENDMENT TO DISPOSITION AND DEVELOPMENT
AGREEMENT WITH 7™ AND MAIN DEVELOPER LLC, AN OREGON LIMITED LIABILITY
COMPANY.
MOVED by Allgood, SECONDED by Warwick to approve Resolution 2022-13 and authorize its execution.
Roll call vote: Those voting yes: Allgood, Warwick, Fultz, Moore, Porter, and Doty. Those voting no: none.
Absent and/or not voting: Ramirez.
